Qwest expects theagreement to generate approximately $260 million ofincremental services over the next five years.

Under the five-year agreement, Loudcloud and Qwestwill co-market and sell each other's services,leveraging the benefits of Qwest's nationwide saleschannel and Loudcloud's leadership in the MSP sector.Loudcloud becomes Qwest's preferred provider ofhosting and complex Web application managementservices, and Qwest becomes Loudcloud's preferredprovider of data center and network services to bothcompanies' customers.
Qwest and Loudcloud will jointly deliver an end-to-endmanaged application hosting solution by leveragingQwest's North American and European CyberCenters andLoudcloud's managed services offering. The companieswill offer the solution to both existing and newcustomers that want to outsource the operational andtechnical tasks associated with complex Internet andWeb-based application management. The two companieswill jointly market and sell the solution.

As part of the agreement, Loudcloud will host themajority of its new clients in select QwestCyberCenters. The companies will deploy Loudcloud'sOpsware automation technology in these data centers toprovide managed services. Loudcloud will occupy spacein these facilities on a "just in time" basis as newcustomers are added and as capacity needs grow. Theagreement also is backed by revenue and volumecommitments between the two companies.
Qwest will also transition the management of itscorporate Internet site, Qwest.com, to Loudcloud.Qwest.com contains approximately 15,000 pages and, ina typical month, receives almost 14 million pageviews, and processes more than 8,500 orders.
