Aug, 2002 : ISS Buys Behavioral Inspection Technology
📅 - Software and service provider Internet Security Systems Inc. (ISS) (iss.net) announced on Tuesday that it has acquired the privately held vCIS, which has developed a patent-pending pre-emptive behavioral inspection technology.
The technology, says ISS, prevents malicious code from executing and causing damage before it has an opportunity to interact with the enterprise network. ISS says the acquisition will provide its customers with another essential protection technology that will help defend against evolving hybrid threats.
"We view pre-emptive behavioral inspection as one of the deepest and most valuable layers to providing comprehensive protection," says Tom Noonan, president and chief executive officer of Internet Security Systems. "The acquisition of this behavioral analysis technology will help our customers protect their infrastructures from unknown threats during their most vulnerable time between the discovery of a new threat and its resolution."
ISS says the acquisition advances its strategy of offering solutions to actively detect, prevent and respond to security risks at every potential point of compromise on desktops, servers and networks.
According to the terms of the agreement, vCIS will receive consideration of approximately $20 million in either cash or ISS common stock.
The transaction has been approved by the board of directors of each company and voting agreements in favor of the deal have been given by sellers representing a majority of the outstanding vCIS stock. The transaction is still subject to certain regulatory approvals and customary closing conditions, and is expected to be complete in the fourth quarter of 2002.
