Micron Electronics and Interland Joint Proxy Statement/Prospectus Declared Effective

📅 July 6, 2001 - Micron Electronics, Inc. (micronelectronics.com) andInterland, Inc. (interland.com ) announced today that the companies' joint proxy statement/prospectus relating to Micron's previously announced acquisition of Interland has been declared effective by the Securities and Exchange Commission, and filed electronically.

The companies announced the signing of a definitive merger agreement onMarch 23, 2001.
The companies also announced that on May 11, 2001, the waiting period forantitrust review of the proposed acquisition under the Hart-Scott-Rodino Actexpired without inquiry from the Department of Justice.
The combination of Interland and Micron Electronics' Web hosting subsidiary,HostPro, will create a leading provider of business-class hosting solutionsto the international small and medium enterprise market, with one of thebroadest portfolios of managed hosting and value-added services in theindustry.
Shareholders will be able to attend meetings on August 6, 2001, in thecompanies' respective headquarters in Atlanta.
