Feb 18, 2005 : Globix, NEON Merger Nearing Close

📅 February 18, 2005 - Application, media and infrastructure management servicesprovider Globix Corporation (globix.com)and high bandwidth services and solutions provider NEON Communications,Inc. announced on Thursday that they will hold a shareholders meetingon Monday, March 7, 2005, regarding their proposed merger and otherrelated matters.

The two companies announced their intentions to merge last July.Upon closing of the transaction, NEON will become a wholly ownedsubsidiary of Globix. The transaction is expected to close shortlyafter shareholder approval.

After the deal closes, NEON shareholderswill receive 1.2748 shares of Globix common stock for each share ofNEON common stock and 2.0833 shares of a new class of Globix preferredstock, plus $3.75 in cash for each share of NEON preferred stock.

Globix has applied for listing of itsshares of common stock on the American Stock Exchange in connectionwith the closing of the merger.
